TERMS AND CONDITIONS

Promoter

    1. The promoter is Uber Australia Pty Ltd (ABN 49 160 299 865) of Level 30, 580 George Street, Sydney NSW 2000 (“Promoter”). This promotion is conducted in association with and on the platform of 90 Seconds Australia Pty Ltd (ABN 15 600 234 937 of Suite 72, Jones Bay Wharf, 26-32 Pirrama Road, Pyrmont, Sydney NSW 2009 (“90 Seconds”).

Who Can Enter

    1. Entry is only open to Australian and New Zealand residents who are freelancers with 90 Seconds (at https://90seconds.com.au). Entries can be submitted by a single person (“Individual”), or as part of a team of up to six content creators (excludes actors, extras and performers)(“Team”). If an entry is submitted by an Individual, the Individual must be registered as a creator (or register prior to entry) with 90 Seconds. If an entry is submitted by a Team, the Team must select one (1) Team member as their representative and that representative must be registered (or register prior to entry) as a creator with 90 Seconds (“Team Leader”). Each Individual and Team (Team members individually and jointly) is also referred to as “entrant/s” in these Terms and Conditions. For the avoidance of doubt, any actors, extras or performers featured in a Concept or Video (as defined below) will not be counted as entrants or Team members, unless they are also classified as a content creator and entrant, and nominated as the Individual or part of a Team.
    2. Entrants under 18 years old must have parental/guardian approval to enter and further, the parent/guardian of the entrant must read and consent to these Terms and Conditions. Parents/guardians may be required by the Promoter to enter into a further agreement as evidence of consent to the minor entering this promotion.
    3. Employees (and their immediate families) of the Promoter and agencies associated with this promotion are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.

How to Enter

    1. Entries open on 08/12/2016 and close at 11.59pm AEDST on 21/12/16 (“Entry Period”).
    2. To be eligible to enter, Individuals/Teams must, during the Entry Period, create a concept proposal for a 90 second film in the form of a script, storyboard or video pitch (“Concept”), on the topic of “A Shared Ride”, either from the perspective of an “Uber rider”, “Uber driver-partner” or “Your City”. The Promoter will publish content guidelines and a brief, which will contain the key themes, objectives and inclusions for the Concept (and Film, where applicable as outlined below), at the promotional website https://90seconds.tv/creator-video-challenge/ (“Brief”). Each Concept must be compliant with the Brief and these Terms and Conditions (including clause 37), as well as the 90 Seconds Terms and Conditions at https://90seconds.com.au/terms-freelancer/, or the Individual or Team (as applicable) that submitted that Concept may be disqualified at the Promoter’s discretion.
    3. To enter, Individuals/Teams must then submit their Concept for consideration, during the Entry Period by visiting the promotional page on the 90 Seconds website at https://90seconds.tv/creator-video-challenge/ login in and follow the prompts to submit their Concept. If entering as an Individual, the Individual must log into their 90 Seconds creator account, or if entering as a Team, the Team Leader must log into the Team Leader’s 90 Seconds creator account. Each Individual and each member of a Team warrant to the Promoter that the entry and the Concept do not infringe the rights of any third party.
    4. Incomplete, indecipherable, non-compliant, inaudible or illegible entries will be deemed invalid.
    5. Each entrant (whether an Individual or Team) can enter the Competition an unlimited number of times.

Semi – Finalist Selection and Film Production

    1. The Promoter will judge all entries received during the Entry Period against each other based on the originality, suitability and creativity of the Concept submitted and how well the Concept encapsulates the Brief. The judges may select additional reserve entries which they determine to be the next best, and record them in order of merit, in case of an invalid entry or ineligible entrant. The Promoter may elect to consult 90 Seconds or any other party in the judging process, at its absolute discretion.
    2. The best twelve (12) valid entries, as determined by the judges in their absolute discretion will each be deemed a semi-finalist (“Semi Finalists”).
    3. Each Semi Finalist will be notified via their 90 Seconds account and email (in the case of a Team, only the Team Leader will be notified) that they have been selected as a Semi Finalist. Each Semi Finalist (whether an Individual or a Team) will be provided a project page and allocated a 90 Seconds Manager who will provide them with four (4) hours of assistance with production management on the 90 Second platform.
    4. Each Semi Finalist will be required to produce their Concept into a 90 second film (“Film”). Each Semi Finalist will be provided with AU$2,000 toward production costs of their Film, which will be paid in accordance with 90 Seconds usual payment terms available at https://90seconds.com.au/terms-freelancer/. Payment of the funds may occur after the Film has been produced and uploaded, in accordance with the 90 Seconds payment terms. In the event that a Semi Finalist elects to spend more than AU$2,000 in production of their Film, any such excess cost will be the responsibility of the Semi Finalist and will not be borne by the Promoter or 90 Seconds. Each Film must be in line with these Terms and Conditions (including without limitation clause 37) and the Brief as well as the 90 Seconds Terms and Conditions at https://90seconds.com.au/terms-freelancer/. Semi Finalists can only submit Films via the 90 Seconds Platform and are strictly prohibited from publishing or otherwise sharing the Film on any public platform, without prior written permission from the Promoter.

      Semi Finalists agree for their Concept and Film to be reviewed by Uber and 90 Seconds at any time, including during the production process, and that Uber and 90 Seconds each have a right of consultation in relation to the Concept and the Film (at any stage of the Film production). The Promoter reserves the right to disqualify any Individual or Team, in the event that the Promoter determines the Concept or Film (at any stage of the Film production) to be in breach of these Terms and Conditions or the 90 Seconds Terms and Conditions at https://90seconds.com.au/terms-freelancer/, or in the event that a Semi Finalist fails to follow the reasonable directions of the Promoter or 90 Seconds. Semi Finalists will be required to submit a draft version of their Film for consultation no later than 5pm AEDST on 19/01/2017 by visiting the 90 Seconds website and uploading it to their 90 Seconds project page. Each Semi Finalist will then have an opportunity to make any changes to the Film as requested or advised by the Promoter and 90 Seconds, prior to making their final Film submission. Semi Finalists must complete and submit the final version of their Film by 5pm AEDST on 27/01/2017 by visiting the 90 Seconds website and uploading it to their project page.

    5. In the event that a Semi Finalist does not produce and submit a Film in line with their Concept, the Brief and the reasonable directions of the Promoter and 90 Seconds by 5pm AEDST on 27/01/2017 or otherwise breaches these Terms and Conditions, that Semi Finalist will be disqualified and will not be eligible to participate or win. In such a case, if the AU$2,000 has already been paid to the Semi Finalist, the Semi Finalist acknowledges and warrants that it will owe and return to the Promoter the full AU$2,000 no later than 30/01/2017. If any Semi Finalist is disqualified, the Promoter reserves the right to select another Semi Finalist (based on the above criteria) or to proceed to the next stage of the promotion with the remaining Semi Finalists only, at its absolute discretion.
    6. Once a final Film has been submitted to the Promoter, any subsequent amendments to the final Film will not be allowed, unless advised otherwise by the Promoter.

Finalist Selection and Voting

    1. The Promoter will judge all final Films received from the Semi Finalists against each other based on the originality, suitability and creativity of the Film submitted and how well the Film encapsulates the Brief. The judges may select additional reserve entries which they determine to be the next best, and record them in order of merit, in case of an invalid entry or ineligible entrant.
    2. The best eight (8) valid entries, as determined by the judges in their absolute discretion will each be deemed a Finalist (“Finalists”).
    3. Subject to being in compliance with these Terms and Conditions and the Brief, each Finalist will have their name(s) and Film uploaded onto the Uber App in Australia and New Zealand and made subject to viewing and voting by Uber riders.
    4. Voting is only open to Australian and New Zealand residents who are Uber riders and have the Uber App downloaded on their compatible device. Employees (and their immediate families) of the Promoter and agencies associated with this promotion are ineligible to vote. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.
    5. Voting will commence on 1 Feb. 2017 and end at 11:59pm AEDST on 8 March 2017 (“Voting Period”).
    6. To vote, individuals must complete the following steps during the Voting Period:
      Log into the Uber App;
      Locate the promotional survey and view the Films; and
      Follow the prompts to vote for their favourite Film.
    7. No prize will be awarded for the act of voting.
    8. The Promoter reserves the right, at any time, to verify the validity of votes and voters (including a voter’s identity, age and place of residence) and to disqualify any voter who submits a vote that is not in accordance with these Terms and Conditions or who tampers with the voting process. Errors and omissions will be accepted at the Promoter’s discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.
    9. The Promoter reserves the right, at any time: (a) to invalidate any votes which it reasonably suspects have been submitted using false, incorrect, fraudulent or misleading information, including but not limited to personal details and contact information and/or votes that have been submitted through the use of multiple identities, email addresses or accounts, including but not limited to social networking accounts; and/or (b) to disqualify any entrant (or invalidate his/her entry) that the Promoter reasonably suspects has paid, bartered or offered payment or other consideration to another person in exchange for votes or has otherwise encouraged or procured any person to submit votes contrary to these Terms and Conditions.
    10. Multiple votes are permitted, subject to the following: (a) each vote must be submitted separately and in accordance with voting requirements; and (b) a maximum of one (1) vote is permitted per voter per Film.

Winner Selection

    1. Subject to clause 29, the valid Finalist that submits the Film with the highest number of valid votes at the end of the Voting Period will win AU$10,000. The prize will be awarded in the form of a direct deposit to the bank account of the Individual (if the winner is an Individual) or to the Team Leader (if the winner is a Team). The Team Leader will then be responsible for dividing the prize equally among all Team members, or as otherwise agreed between the Team members. The Promoter and 90 Seconds will not be liable or responsible for any disputes between the Team members and/or the Team Leader in respect to prize division, and each Team member agrees that all obligations of the Promoter and 90 Seconds will be satisfied once payment of the prize is made to the Team Leader.
    2. Subject to clause 29, the valid Finalist who submits the Film with the second highest number of valid votes at the end of the Voting Period will win an AU$500 Uber credit and a DJI Mavic drone valued at AU1,700 (see http://store.dji.com/product/mavic-pro#/?_k=qlsjd3 for details). Each winner must have an Uber account to redeem the credit. The Uber credit will be awarded into the Uber account of the Individual (if the winner is an Individual) or will be divided into equal parts and deposited into the Uber account of each member of a Team (if the winner is a Team). The DJI Mavic drone will be awarded to the Individual (if the winner is an Individual), or to the Team Leader (if the winner is a Team) who will then be responsible for dividing this prize or use of this prize equally among all Team members, or as otherwise agreed between the Team members. The Promoter and 90 Seconds will not be liable or responsible for any disputes between the Team members and/or the Team Leader in respect to prize division, and each Team member agrees that all obligations of the Promoter and 90 Seconds will be satisfied once the Uber credit is deposited into each Team member’s Uber account and the DJI Mavic drone prize is awarded to the Team Leader. Credit is subject to the following conditions: the winner may nominate whether to receive the credit to use in Australia or New Zealand (at the winner’s election).
    3. Subject to clause 29, the valid Finalist who submits the Film with the third highest number of valid votes at the end of the Voting Period will win an AU$250 Uber credit and a GoPro Hero 5 valued at AU600 (see http://shop.gopro.com/APAC/cameras/hero5-black/CHDHX-501-master.html for details). Each winner must have an Uber account to redeem the credit. The Uber credit will be awarded into the Uber account of the Individual (if the winner is an Individual) or will be divided into equal parts and deposited into the Uber account of each member of a Team (if the winner is a Team). The GoPro Hero 5 will be awarded to the Individual (if the winner is an Individual), or to the Team Leader (if the winner is a Team) who will then be responsible for dividing this prize or use of this prize equally among all Team members, or as otherwise agreed between the Team members. The Promoter and 90 Seconds will not be liable or responsible for any disputes between the Team members and/or the Team Leader in respect to prize division, and each Team member agrees that all obligations of the Promoter and 90 Seconds will be satisfied once the Uber credit is deposited into each Team member’s Uber account and the DGoPro Hero 5 prize is awarded to the Team Leader. Credit is subject to the following conditions: the winner may nominate whether to receive the credit to use in Australia or New Zealand (at the winner’s election).
    4. In the event of a tie between two (2) or more Finalists for any rank or prize, the Promoter will judge the tied entries against each other and will select which tied entry will receive the relevant rank and prize. Each tied-entry will be judged based on the criteria outlined in clause 16.
    5. All winners will be notified via their 90 Seconds account and email and will also be published on the Promoter’s social media and any other websites and publications determined by the Promoter in its absolute discretion.

General

  1. Information on how to enter, judging, winner selection, voting and the prizes form part of these Terms and Conditions. Participation in this promotion is deemed acceptance of these Terms and Conditions.
  2. The Promoter reserves the right, at any time, to verify the validity of entries and entrants (including an entrant’s identity, age and place of residence) and reserves the right, in its sole discretion, to disqualify any individual who the Promoter has reason to believe has breached any of these Terms and Conditions, tampered with the entry process or engaged in any unlawful or other improper misconduct calculated to jeopardise fair and proper conduct of the promotion. Errors and omissions may be accepted at the Promoter’s discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights. The Promoter’s legal rights to recover damages or other compensation from such an offender are reserved.
  3. If there is a dispute as to the identity of an entrant, the Promoter reserves the right, in its sole discretion, to determine the identity of the entrant.
  4. If a winner is under the age of 18 years, the prize will be awarded to the winner’s nominated parent or guardian.
  5. If for any reason a winner does not take a prize by the time stipulated by the Promoter, then the prize will be forfeited.
  6. Prizes, or any unused portion of a prize, are not transferable or exchangeable and cannot be taken as cash, unless specified otherwise by the Promoter.
  7. Entrants agree that they are fully responsible for any materials they submit via the promotion including but not limited to Concepts and Films (“Content”). The Promoter and 90 Seconds shall not be liable in any way for such Content to the full extent permitted by law. The Promoter and 90 Seconds may remove or decline to publish any Content without notice to entrants for any reason whatsoever. Entrants warrant and agree that:
    1. they will not submit any Content that is unlawful or fraudulent, or that the Promoter or 90 Seconds may deem in breach of any intellectual property, privacy, publicity or other rights, defamatory, obscene, derogatory, pornographic, sexually inappropriate, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, not suitable for children aged under 15, or otherwise unsuitable for publication;
    2. their Content shall not contain viruses or cause injury or harm to any person or entity;
    3. they will obtain prior consent from any person (including but not limited to actors and extras) or from the owner(s) of any property that appears in their Content (e.g. if a real Uber driver partner is used, permission must be sought). Entrants also agree to, on request, provide the Promoter with a written release from each performer featured in a Concept or Film, for that performer’s name, likeness, image and/or voice (including photograph, film and/or recording of the same) to be featured in any media for an unlimited period without remuneration for the purpose of promoting this promotion (including any outcome), and promoting any products or services manufactured, distributed and/or supplied by the Promoter and/or 90 Seconds;
    4. Any vehicle featured in the Content must be a vehicle eligible to drive on the uberX platform;
    5. the Content is the original work of the entrant(s) and the Content does not infringe the rights of any third party. For the avoidance of doubt, if any music is used in the Content, the music must either be the original work of the entrant(s) or must comply with clause 37(h) below;
    6. they will comply with all applicable laws and regulations, including without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others’ computer or communication systems;
    7. their Content will not contain any third party trademarks, logos, brands, or products and will not disparage third party brand. The Content must not contain taxi comparisons or anti-competitive narrative;
    8. any music used in the Content must be royalty free, can be purchased or curated and must otherwise be in compliance of this clause;
    9. seat belts must be worn when recording in cars, speed limits must be adhered to and no alcohol in vehicles can be depicted;

    Without limiting any other terms herein, the entrant agrees to indemnify the Promoter for any breach of the above terms.

  8. As a condition of entering this promotion, each entrant licenses and grants the Promoter and 90 Seconds the right to view and judge their Concept, as required to select the winners in this promotion and conduct the promotion. All intellectual property rights in the Concept will remain with the entrants, subject to clause 39 below.
  9. As a condition of entering this promotion and accepting the $2,000 production budget and/or any prize, each Semi Finalist, Finalist and winner agrees to assign all of their rights, title and interest (including copyright) in and to their Content (which shall include the Concept and all versions of the Film) to 90 Seconds, who in turn agrees to assign all such rights to the Promoter, and to execute any documents to confirm such assignment. Entries will not be returned to any entrant. Each Semi Finalist, Finalist and winner agrees that the Promoter will have complete control over such Content and how or when it is used, reproduced, published, modified, adapted or otherwise treated (including by the Promoter, 90 Seconds or any other party, as determined by the Promoter in its absolute discretion). Each Semi Finalist, Finalist and winner consents to any use of their Content which may otherwise infringe the Content creator’s/creators’ moral rights pursuant to the Copyright Act 1968 (Cth) and warrant that they have the full authority to grant these rights.
  10. Entrants consent to the Promoter and 90 Seconds using their name, likeness, image and/or voice in the event they are a Semi Finalist, Finalist or a winner (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting this promotion (including any outcome), and promoting any products or services manufactured, distributed and/or supplied by the Promoter and/or 90 Seconds.
  11. If this promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoter reserves the right, in its sole discretion, to the fullest extent permitted by law (a) to disqualify any entrant; or (b) to modify, suspend, terminate or cancel the promotion, as appropriate.
  12. Any cost associated with preparing and producing the Concepts (and Films outside of the allocated budget) or accessing the promotional pages is the entrant’s responsibility, including but not limited to any payments rendered to performers and obtaining of appropriate releases from such performers.
  13. Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act, as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the States and Territories of Australia or any statutory consumer guarantees as provided under consumer protection laws in New Zealand (“Non-Excludable Guarantees”). Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter and 90 Seconds (including their respective officers, employees and agents) exclude all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the promotion.
  14. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter and 90 Seconds (including their respective officers, employees and agents) are not responsible for and exclude all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter’s or 90 Second’s control); (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter or 90 Seconds) due to any reason beyond the reasonable control of the Promoter or 90 Seconds; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by a winner or entrant; or (f) taking/redemption of a prize.
  15. As a condition of accepting a prize, each winner (i.e. the Individual or each member of a Team, as applicable) may be required to sign any legal documentation as and in the form required by the Promoter and/or prize suppliers in their absolute discretion, including but not limited to a legal release and indemnity form. In the event a winner is under the age of 18, a nominated parent/legal guardian of such person will be required to sign the legal documentation required under this clause on their behalf.
  16. The Promoter collects personal information (“PI“) in order to conduct the promotion and may, for this purpose, disclose such PI to third parties, including but not limited to agents, contractors, service providers and prize suppliers. Entry is conditional on providing this PI. The Promoter will also use and handle PI as set out in its Privacy Statement, which can be viewed at https://www.uber.com/en-AU/legal/privacy/users/en/.
  17. 90 Seconds collects PI in order to conduct the promotion and may, for this purpose, disclose such PI to third parties, including but not limited to agents, contractors, service providers and prize suppliers. Entry is conditional on providing this PI. 90 Seconds will also use and handle PI as set out in its Privacy Policy, which can be viewed at https://90seconds.com.au/privacy/.
  18. The laws of Australia apply to this promotion to the exclusion of any other law. Entrants submit to the exclusive jurisdiction of the courts of Australia.
